1. Agreement to Terms

By accessing or using the website of DotSpheres Technologies Private Limited (dotspheres.com), commissioning custom software engineering services, or subscribing to our proprietary digital products, you agree to be legally bound by these Terms of Service.

2. Description of Services & Products

DotSpheres Technologies operates as:

• Custom Software Engineering: Bespoke web applications, mobile platforms, API architectures, and AI integrations delivered under Master Services Agreements (MSA) and Statements of Work (SOW).
• Resource Augmentation: Vetted dedicated engineers deployed to augment client development teams.
• Proprietary SaaS Products: Software-as-a-Service tools developed, hosted, and operated by the Company (including ReachBell and VedHoroscope).

3. Intellectual Property & Code Ownership

For all custom software development and resource augmentation projects, upon full payment of agreed milestone fees, 100% of the custom source code, documentation, schemas, and design files belong exclusively to the client. DotSpheres retains zero ownership claim over bespoke intellectual property developed under paid client contracts.

4. Confidentiality & Non-Disclosure

We execute mutual international Non-Disclosure Agreements (NDA) prior to reviewing sensitive product specifications or proprietary business logic. We maintain strict internal data isolation and encrypted access controls.

5. Limitation of Liability

In no event shall DotSpheres Technologies Private Limited, its directors, or employees be liable for indirect, incidental, or consequential damages resulting from downtime, data loss, or third-party service interruptions beyond the value of fees paid under the applicable Statement of Work in the preceding three-month period.

6. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal dispute or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of Rajasthan, India.
